Terms of Service
These Terms of Service describe the draft commercial terms for ERA Cloud, a B2B platform for compute, inference, server capacity routing, provider orchestration, usage visibility, and billing support. They are intended for payment-provider and partner readiness review and must be reviewed by counsel before paid launch.
1. Service Description
ERA Cloud provides a unified dashboard and API for discovering, routing, provisioning, monitoring, and managing compute and inference workloads across third-party infrastructure providers and, in future phases, ERA-operated capacity. ERA Cloud may operate as a control-plane provider, broker, reseller, billing layer, or routing layer depending on the customer plan and provider arrangement.
2. Accounts and Eligibility
The service is intended for business use. Customers are responsible for providing accurate account, organization, billing, tax, and contact information and for keeping credentials secure. ERA Cloud may refuse, suspend, or terminate accounts that present fraud, abuse, sanctions, payment, provider-policy, or security risk.
3. Customer Responsibilities
Customers are responsible for workloads, prompts, files, models, data, credentials, API usage, user access, and compliance with applicable law and third-party provider rules. Customers must not use ERA Cloud to bypass provider restrictions, capacity limits, export controls, sanctions, abuse controls, or security requirements.
4. Provider Capacity and Availability
Third-party provider capacity, prices, regions, GPU types, inference models, quotas, and availability can change without notice. ERA Cloud may route workloads based on price, region, latency, availability, provider mode, customer policy, and operational health, but does not guarantee that a specific provider, GPU, model, or price will always be available.
5. BYOK and Credentials
Customers may connect their own provider credentials where supported. Customers remain responsible for charges, terms, quotas, and abuse handling in their direct provider accounts. ERA Cloud stores configured secrets using encrypted storage controls but cannot remove the customer's responsibility to manage provider access and rotate credentials when necessary.
6. Billing and Payment
ERA Cloud may charge subscription fees, usage fees, provider pass-through charges, markups, partner margins, prepaid credits, support fees, or custom enterprise fees. Invoices may be settled through ERA Pay, bank transfer, or another approved rail. Taxes, VAT, withholding, foreign exchange costs, payment processor fees, chargeback costs, and bank fees may apply depending on the customer location and agreement.
7. Usage Records
Usage records, logs, provider records, invoice records, and ledger entries may be used to calculate charges and resolve disputes. Customers should report billing questions promptly. ERA Cloud may pause workloads or account access when invoices are overdue, payment fails, risk review is required, or usage exceeds approved limits.
8. Suspension and Termination
ERA Cloud may suspend or terminate service for non-payment, suspected fraud, security incidents, prohibited workloads, provider-policy violations, sanctions risk, operational risk, or legal requirements. Customers may cancel according to the applicable plan or written agreement. Consumed infrastructure usage is generally not reversible after it has been delivered by ERA Cloud or a provider.
9. Disclaimers
The service is provided on an operationally reasonable basis and may depend on third-party providers, networks, APIs, payment processors, and customer credentials. ERA Cloud does not warrant uninterrupted service, permanent provider availability, fixed provider prices, or suitability for every workload. Production SLAs, support terms, and enterprise commitments should be documented in a separate signed agreement.
